Arc Fund Management Ltd (Arc) was formed in 2002 when it took over Sherriff Research Limited and changed its name to Arc Fund Management Limited. Arc Fund Management Holdings PLC's share capital was admitted to trading on AIM on 4th July 2006.

Arc specialises in Enterprise Investment Scheme (EIS) investments and has pioneered the fund approach to EIS investment so that investors can get not only exposure to many different companies in various sectors and stages of development but can also spread their risk by investing in a portfolio of companies.

With the change in tax laws in 2004, Arc decided to launch a VCT – Venture Capital Trust – so that they could offer the choice of a VCT for income tax relief or an EIS for capital gains tax and inheritance tax relief.

Arc normally invests between £50,000 and £600,000 in its EIS eligible companies and up to £1,000,000 in VCT companies. This gives Arc Fund Management the ability to invest in larger companies using both VCT and EIS funds so avoiding the need to co-invest. In the case of some of its major investments Arc can monitor the investee company by way of the appointment of a non-executive director to the company’s board.

The main aim of the EIS & VCT investments is to bring all investee companies to the AIM market so that investors can realise their investments.

In June 2005 Arc launched its Financial Services Authority (FSA) approved European Property Fund. This was structured as an Open Ended Investment Company (OEIC) and is the first such fund to include residential property as part of its investment strategy.

Arc specialises in tax-efficient investments under the Enterprise Investment Scheme (EIS). The investments are by way of HM Revenue & Customs approved Funds, which each invest in a range of companies across different sectors.

The purpose of this form of investment is to bring together young, innovative companies with innovative and potentially profitable business ideas and investors in a tax efficient way using the incentives offered by current tax legislation. Companies with high growth potential, which qualify for the tax benefits of the EIS, are targeted for investment at an early stage so as to take advantage of greater potential growth possibilities.

Members of the fund management team are experienced in Enterprise Investment Scheme (EIS) investment having launched three funds in the last two years and they have completed some 38 deals to date.

Arc Growth Company VCT Plc is a Venture Capital Trust (VCT), that, unlike a number of other VCTs currently on the market, intends to invest mainly in companies not currently listed or traded on any market or exchange, including AIM, but which are likely to seek such a listing in the future. The Directors believe that companies in this position have significant growth potential and an investment in them can be made at significantly more attractive valuations than in companies that are either seeking to be or are already listed.

Arc is an established early stage fund manager and currently manages a series of EIS funds with investments in unquoted companies.

The Fund is an Open Ended Investment Company (OEIC). An OEIC works in a very similar way to a unit trust. ARC, the fund manager, launched in 2005 what it believes to be the first FSA authorised European Property Fund that will include the acquisition and development of residential property as part of its investment strategy.

The Arc OEIC provides exposure to a buoyant European property market in a way that is administratively and legally much simpler than direct investment into a property in Europe.

An OEIC has a company structure, so that when you invest, you will hold shares. It is open-ended, which means that the fund can get larger or smaller, depending on the number of investors who wish to buy or sell shares. OEICs are a relatively new form of investment vehicle and are increasingly replacing unit trusts.

One advantage of a fund structured as an OEIC is that it has a single price, directly linked to the value of the fund's underlying investments. All shares in the fund are bought and sold at this single price. This contrasts with unit trusts, which normally have different buying and selling prices.
